These Terms of Use govern your use of the Cogent Language website and mentoring services. They apply to all visitors to this website and to all mentees engaged in the Cogent Language mentoring program. By using this website or registering for our mentoring program, you agree to these terms.

These Terms of Use form the master governing document for all Cogent Language policies. They should be read alongside the following policies, each of which is available on this website:

Consent

By registering and paying for the Cogent Language mentoring program, you confirm that you have read, understood, and agreed to all of the above policies by checking the consent checkbox at the point of registration. This checkbox constitutes your formal acknowledgment of and agreement to all Cogent Language policies.

About Cogent Language

Cogent Language LLC is incorporated in the State of Arizona, United States of America, and operated from Japan. Its owner and sole mentor has held Project Management Professional (PMP) certification from the Project Management Institute (PMI) since 2007, and holds certification as an Exceptional Mentor from PMI Arizona. Cogent Language's mentoring services are grounded in project management expertise and extensive lived professional experience.

Nature of the Mentoring Service

Cogent Language provides professional mentoring services focused on career development within the field of project management. Our mentoring is grounded in the mentee's own lived professional experience and long-term interest in project management.

However, please be aware of the following important limitations:

Cogent Language's mentoring services do not constitute, and should not be relied upon as, licensed professional advice of any kind, including:

  • Legal advice

  • Medical or therapeutic advice

  • Financial advice

  • Licensed career counseling

While Cogent Language draws on substantial professional expertise and recognized credentials, mentoring is an inherently personal and relational process. Mentees requiring formal licensed professional advice in any of the above domains are strongly encouraged to seek appropriately qualified professionals.

Disclaimer

Cogent Language makes no guarantee that participation in the mentoring program will result in any specific career outcome, employment result, or professional achievement. The effectiveness of mentoring depends on many factors, including the mentee's own effort, circumstances, and decisions, which are beyond Cogent Language's control.

Past results achieved by other mentees or clients of Cogent Language do not guarantee equivalent outcomes for current or future mentees.

Testimonials are displayed on this website under the rubric of “Props”. These reflect the experiences of a range of individuals who have worked with Cogent Language or with Dan Clapper in different professional capacities, including mentees, consulting clients, and professionally managed staff members. They are presented to give an honest representation of the breadth of Cogent Language's professional experience and impact.

Testimonials have been edited for brevity. No edits have been made that alter the original meaning or intent of any testimonial.

Where a testimonial is from an individual who received mentoring services at no charge, this is disclosed directly alongside that testimonial in accordance with applicable FTC guidelines.

Testimonials are presented with the consent of their authors. Past results reflected in testimonials do not guarantee equivalent outcomes for current or future mentees.

Limitation of Liability

To the fullest extent permitted by applicable law, Cogent Language's total liability to any mentee or website visitor arising from or relating to these terms, the mentoring program, or the use of this website shall not exceed the total amount paid by that individual for the mentoring program.

Cogent Language shall not be liable for any indirect, incidental, consequential, or punitive damages arising from or relating to the use of this website or participation in the mentoring program.

Refund and Cancellation

Cogent Language operates a fair and transparent refund and cancellation policy. A reference summary is provided below. Full details, including the complete refund schedule, are set out in the Mentoring Service Agreement available on this website.

In general:

  • Mentee-initiated cancellation is subject to a sliding refund schedule based on timing

  • Cogent Language-initiated cancellation is subject to a pro rata refund based on sessions completed

  • Unused sessions are forfeited

Cogent Language does not control and is not responsible for the content, privacy practices, or data handling of any third party website. Policy Updates

Cogent Language reserves the right to update or modify any of its policies at any time, including these Terms of Use and all associated policies listed above. Any changes will be posted on the relevant policy page with a revised effective date. Your continued use of this website or mentoring services following the posting of changes constitutes your acceptance of those changes.

Where changes are material, Cogent Language will make reasonable efforts to notify registered mentees directly, for example by email, prior to the changes taking effect.

Dispute Resolution

In the event of any dispute arising from or relating to these terms, any associated Cogent Language policy, or the mentoring services provided by Cogent Language, the parties agree to attempt resolution in the following order:

First, the parties will attempt to resolve the dispute through direct negotiation in good faith. Either party may initiate this by providing written notice to the other describing the nature of the dispute.

If direct negotiation does not resolve the dispute within 30 days of written notice, the parties agree to submit the dispute to mediation with a mutually agreed neutral mediator before pursuing any further formal remedy.

If mediation is unsuccessful, the parties may pursue resolution through arbitration or litigation in accordance with the laws of the State of Arizona.

Severability

If any provision of these Terms of Use or any associated Cogent Language policy is found to be invalid, unlawful, or unenforceable by a court or other authority of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Governing Law and Jurisdiction

These Terms of Use and all associated Cogent Language policies are governed by the laws of the State of Arizona, United States of America. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of the State of Arizona, subject to the dispute resolution process set out above.
