Coaching Service Agreement

About This Agreement

This Coaching Service Agreement governs the terms of your engagement with Cogent Language's coaching programs. It applies from the time of registration and should be read alongside the Cogent Language Terms of Use, Intellectual Property Policy, Privacy & Cookies Policy, and Safeguarding Policy.

The Coaching Service

Cogent Language guarantees the delivery of 10 coaching sessions of 45 to 75 minutes each, conducted exclusively via Zoom. Sessions will be scheduled at times agreeable to both parties, at a frequency of no more than 2 sessions per week. The program will last a minimum of 5 weeks and a maximum of 12 weeks, with the actual duration determined by mutual agreement.

The only service guaranteed by Cogent Language is spoken discourse delivered through these synchronous sessions. Cogent Language guarantees its availability and ability to conduct sessions for the full duration of the agreed program.

Clients who wish to continue beyond the initial 10 sessions must purchase a new program. Additional sessions are not available on an individual basis.

Payment

The fees for the coaching programs range from USD $200 - $400, payable in full at the time of registration. No sessions will be scheduled until payment has been received. The program fee is subject to the Refund and Cancellation Policy set out below.

Scheduling and Individual Session Cancellation

Sessions will be scheduled at times mutually agreed by both parties. Either party may cancel or reschedule a session provided they give at least 24 hours notice.

No-shows by either party are treated as cancellations.

Each party is entitled to cancel or reschedule up to two sessions without penalty. Any further sessions cancelled or missed by the client beyond this allowance will be forfeited and are not eligible for rescheduling or refund.

If Cogent Language cancels a session for any reason, including with less than 24 hours notice, a replacement session will be guaranteed regardless of the number of previous cancellations.

Between-Session Communication

Clients are welcome to contact Cogent Language between sessions via email or messaging. Cogent Language will endeavor to respond within 48 hours but this is not a guaranteed service level. Between-session communication is provided in good faith as a supplementary support and does not form part of the guaranteed coaching service.

Code of Conduct

Both Cogent Language and the client commit to the following standards of conduct throughout the program:

PunctualityBoth parties will make every effort to join sessions on time. Where either party anticipates being late, they will notify the other as early as possible. Persistent lateness by either party may be grounds for reviewing the engagement.

PreparationBoth parties will come to sessions prepared. The cliient is encouraged to reflect on previous sessions and identify priorities for discussion in advance. Cogent Language will similarly prepare based on the client’s stated goals and the progress of the program.

EngagementBoth parties commit to engaging openly, honestly, and constructively throughout the program. The coaching relationship depends on mutual trust and good faith effort. Either party may raise concerns about engagement at any time, and both parties commit to addressing such concerns respectfully.

Respect and ProfessionalismBoth parties will treat each other with respect and professionalism at all times, including in between-session communications. Cogent Language reserves the right to terminate the program immediately if conduct falls below this standard.

Refund and Cancellation Policy

Either party may terminate the coaching program at any time. Refunds are calculated as follows depending on which party initiates termination:

Client-Initiated Termination

If the client chooses to terminate the program, the following refund schedule applies regardless of the number of sessions completed:

         Timing                              Refund %

  • Within 2 weeks of registration = 75%

  • Within 4 weeks of registration = 50%

  • After 4 weeks from registration = 0% / no refund

Cogent Language-Initiated Termination

If Cogent Language terminates the program for any reason, including termination resulting from a breach of the Code of Conduct, the cient will receive a pro rata refund based on the number of sessions completed out of 10.

Where termination is initiated by Cogent Language on the grounds of a Code of Conduct breach, Cogent Language will first issue one formal written warning to the client. This warning will describe the nature of the breach and provide the client with an opportunity to address their conduct before termination is considered. If the breach continues or recurs following the warning, Cogent Language reserves the right to terminate the program immediately. The pro rata refund schedule will apply regardless of the circumstances of termination.. For example:

  • 1 session completed (10% of program): 90% refund

  • 5 sessions completed (50% of program): 50% refund

  • 9 sessions completed (90% of program): 10% refund

Refunds will be processed within 10 business days of termination.

Force Majeure

In the event that either party is unable to continue the program due to circumstances beyond their reasonable control — including but not limited to war, pandemic, serious illness, or natural disaster — the same refund schedules above apply depending on which party is unable to continue.

Governing Law and Jurisdiction

This agreement is governed by the laws of the State of Arizona, United States of America. Any disputes arising under this agreement shall be resolved in accordance with the dispute resolution process set out in the Cogent Language Terms of Use.
